WELCOME TO THE WEBSITE OF GRATITUDE ROPES. PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE. All users of this site agree that access to and use of this site are subject to the following terms and conditions and other applicable law. If you do not agree to these terms and conditions, please do not use this site.

SHIPPING

Unless otherwise noted, Gratitude Ropes will use commercially reasonable efforts to ship products within a reasonable time after receipt of your properly completed order. Although Gratitude Ropes may provide delivery or shipment timeframes or dates, you understand that those are Gratitude Ropes good-faith estimates and may be subject to change. You further understand that product availability may be limited and particular products may not be available for immediate delivery, in which case the products will be delivered when they become available. Gratitude Ropes shall not be liable for any loss, damage, cost, or expense related to any delay in shipment or delivery.

The goods will be imported on behalf of the consignee/ebuyer. The consignee authorizes Gratitude Ropes to import the goods on his/her behalf. Further, the consignee/buyer agrees that Gratitude Ropes may delegate the obligation to import the goods on his behalf to a subcontractor (e.g. customs broker). The consignee will pay the taxes & duties in addition with the purchase price of the goods.

RESELLER POLICYS

We permit resale of our products provided you have applied to be an affiliate or wholesale account. Only approved affiliate and  wholesale accounts may resell on another private website. Resellers may not list our products on 3rd party websites (i.e. Amazon, Ebay,) unless given expressed written permission.

PRODUCT POLICY

All Gratitude products may be returned within 14 days of purchase for a size exchange or a full refund. Please visit our our Gratitude Ropes Return page for more details. You must ensure all products are returned in original packaging.

 LIMITATIONS ON LIABILITY

We exclude all representations, warranties, conditions, and terms (whether express or implied by statute, common law or otherwise) to the fullest extent permitted by law. Under no circumstances, including without limitation for loss arising from our negligence, shall Gratitude Ropes and/or any of its affiliates, owner or employees be liable for any damages, claims or losses incurred by you or any third party for injury or damages to any person or property (including without limitation, for any special, direct, indirect, incidental, consequential, compensatory, exemplary, punitive or any other damages of any nature) arising out of the use or misuse of its products, however caused, and under any theory of liability, including but not limited to any damages suffered as a result of product malfunction or breakage, any and all defects, latent or apparent, or problems or deficiencies in the design or condition of the product. This is a comprehensive limitation of liability that applies to all losses and damages of any and all kinds, whether the claim is in contract, tort, product or strict liability, or negligence even if an authorized representative of Gratitude Ropes had been advised of or should have known of the possibility of such damages, claims, or losses, and notwithstanding any failure of essential purpose of any limited remedy. Applicable law in certain jurisdictions may not allow the limitation of liability set forth above, so this limitation of liability may not apply to you. If any part of this limitation of liability is found to be invalid, unlawful, void, or unenforceable for any reason, then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, and the aggregate liability of Gratitude Ropes and/or any of its affiliates, owners, and employees, under such circumstances for liabilities that otherwise would have been limited shall not exceed the purchase price of the product.

TYPOGRAPHICAL ERRORS 

In the event that a Gratitude Ropes product is mistakenly listed at an incorrect price, Gratitude Ropes reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. Gratitude Ropes reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Gratitude Ropes shall issue a credit to your credit card account in the amount of the incorrect price.

APPLICABLE LAW AND VENUE

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Gratitude Ropes products) shall be in the state or Federal District Court for the Central District of California of action or claim you may have with respect to the site (including but not limited to the purchase of Gratitude Ropes products) must be commenced within one (1) year after the claim or cause of action arises. Gratitude Rope's failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Gratitude Ropes may assign its rights and duties under this Agreement to any party at any time without notice to you.

OTHER IMPORTANT TERMS

These Terms and Conditions supersede any other terms and conditions previously published by us and any other representations or statements made by us to you, whether oral, written, or otherwise. We may assign, transfer, or sub-contract any of our rights or obligations under these Terms and Conditions to any third party at our discretion. No delay by us in exercising any right or remedy under these Terms and Conditions shall operate as waiver of that right or remedy or shall affect our ability to subsequently exercise that right or remedy. Any waiver must be agreed by us in writing.
